Terms of Service

1. Service Scope & Limitations

EduBerry Private Limited (“EduBerry”, “we”, “us”) provides a white-label, multi-tenant school management platform (“Service”) accessible at eduberry.org and tenant subdomains such as{your-school}.eduberry.org. The Service includes a Core product and optional add-ons (Bus Manager, Exam Suite, Timetable Maker) as selected at checkout.

We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice. We do not guarantee 100% uptime but target 99.5% monthly availability. Scheduled maintenance windows will be communicated at least 24 hours in advance where possible.

2. Acceptable Use Policy

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable Indian law
• Upload, store, or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to other tenants’ data or EduBerry’s infrastructure
• Reverse-engineer, decompile, or copy any part of the platform
• Resell or sublicense access to the Service without written consent
• Use the Service to store or share content that is illegal, defamatory, or violates third-party rights

EduBerry may suspend accounts that violate this policy without refund if the violation poses a security or legal risk to other users.

3. Account Responsibility

The person who completes checkout becomes the Primary Admin of the school tenant. This account is protected at the database level and cannot be deleted or downgraded. The Primary Admin is responsible for:

• All activity that occurs under their school tenant
• Keeping login credentials confidential and secure
• Ensuring all users added to their tenant comply with these Terms
• Obtaining appropriate consent from parents and guardians before adding student data

4. Payment & Billing

Billing is per-member-per-month (PMPM) in Indian Rupees (INR) plus 18% GST, processed via Razorpay. The base tier starts at 1,000 members; additional capacity is available in 500-member slabs.

• 3-month free trial: Your card is charged today. If you cancel within 3 months from the activation date, you receive a full refund of payments made during the trial period.
• After the trial, billing renews automatically each month on the same date.
• Plan tier upgrades (adding add-ons) take effect immediately and are prorated to the next billing cycle.
• Downgrades take effect at the next renewal.
• All prices are exclusive of GST unless stated otherwise.

5. Termination

By you: You may cancel your subscription at any time from your billing settings. After cancellation, your tenant remains accessible in read-only mode for 30 days, after which all data is permanently deleted.

By EduBerry: We may terminate your account for material breach of these Terms, non-payment of fees after a 14-day grace period, or if continued operation poses a legal or security risk. We will provide 7 days’ notice except in cases of fraud or serious security incidents.

Data on exit: Within 30 days of termination you may request a full data export (CSV + media files). After 30 days, data is irreversibly deleted from all systems including backups.

6. Limitation of Liability

To the maximum extent permitted by applicable law, EduBerry’s aggregate liability for any claims arising out of or related to the Service is capped at the total fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

EduBerry is not liable for indirect, incidental, consequential, or punitive damages, including loss of data, loss of revenue, or business interruption, even if we have been advised of the possibility of such damages.

7. Governing Law & Disputes

These Terms are governed by the laws of Tamil Nadu, India. Any disputes shall first be attempted to be resolved amicably within 30 days. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Tamil Nadu, India.

8. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to the Primary Admin at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
